    Can the buyer end the supply agreement if deliveries are late three months in a row?

    Yes, but only after notice and a chance to fix it.

    The buyer may terminate for repeated late delivery, which the agreement defines as three or more late deliveries in any rolling six-month period. It must first give written notice and allow the supplier 30 days to cure. Orders shipped before termination stay payable.

    1. 14.2

      The Buyer may terminate this Agreement where the Supplier makes three (3) or more Late Deliveries within any rolling period of six (6) months.1 A delivery is late if it arrives more than five Business Days after the agreed date.

    2. 14.3

      Before exercising its right under clause 14.2, the Buyer shall give written notice to the Supplier and allow thirty (30) days for the Supplier to remedy the failure.2

    3. 14.6

      Termination shall not affect accrued rights. Purchase Orders dispatched before the date of termination shall remain payable in full3 in accordance with clause 9.
